CXApp Inc. (the “Company”) has determined that it is unable, without unreasonable effort or expense, to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2023 (the “Form 10-K”) by the prescribed due date because the Company requires additional time to finalize the Form 10-K in light of the review of the financial statements from the Company’s recent business combination, specifically related to the interim stub period from January 1, 2023 to March 14, 2023 with its predecessor, as previously disclosed in the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission on March 20, 2023. The Company intends to file the Form 10-K as soon as practicable within the extension period of 15 calendar days from the prescribed due date.
